Terms of Service for Hopae Auth

These Terms of Use (“Terms”) govern your access to and use of Hopae Auth (the “Service”), provided by Hopae Inc. (“Hopae”, “we”, “us”, or “our”). By integrating, accessing, or using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

1. Service description 

Hopae Auth is an integration that allows applications to support EUDI Wallet–based login by connecting to IAM platforms and solutions and relevant EUDI Wallet infrastructure, including authorized intermediaries. The Service facilitates authentication flows between your applications, your IAM platform and solution, and the EUDI ecosystem.

2. Your responsibilities 

You are responsible for:

  • Configuring and integrating Hopae Auth with your IAM platform (for example, Auth0) and applications.

  • Ensuring that your use of the Service complies with all applicable laws and regulations, including eIDAS 2.0, data protection laws, and sector‑specific requirements.

  • Providing clear and accurate information and notices to your end‑users, including privacy disclosures and terms that cover EUDI Wallet login and use of the Service.

  • Managing access to your IAM platform, API keys, credentials, and other security secrets, and keeping them confidential and secure.

  • Ensuring that any data you submit to or process through the Service is obtained and used lawfully and in line with your own policies.

You may not:

  • Use the Service for any unlawful, fraudulent, or abusive purpose.

  • Attempt to reverse engineer, decompile, or otherwise derive the source code of the Service, except where permitted by law.

  • Interfere with or disrupt the integrity, performance, or security of the Service or the underlying infrastructure.

  • Use the Service to transmit malicious code, spam, or other harmful content.

3. Availability and changes 

We aim to make Hopae Auth available and reliable; however, the Service may be subject to interruptions, delays, or limitations, including due to maintenance, technical issues, or dependencies on third‑party services (such as IAM platforms, EUDI Wallet infrastructure, or intermediaries).

We may modify, suspend, or discontinue all or part of the Service at any time, including to reflect changes in technology, regulatory requirements, or third‑party ecosystems. Where reasonably possible and appropriate, we will provide notice to customers of material changes that significantly impact the Service.

4. Beta or preview features 

Hopae Auth may include features that are provided as beta, preview, or early‑access functionality, particularly while EUDI Wallet infrastructure is still rolling out. These features are provided “as is” and may be subject to additional limitations, more frequent changes, reduced documentation, or limited support. We may enable or disable such features at our discretion.

5. Third‑party services 

The Service interacts with third‑party services, including IAM platforms (such as Auth0), EUDI Wallet infrastructure, and authorized intermediaries. We do not control and are not responsible for:

  • the availability, security, or performance of those third‑party services; or

  • how those third parties process data, beyond what is required for Hopae Auth to function as intended.

Your use of third‑party services is governed by their own terms and policies. It is your responsibility to review and comply with those terms and to understand how those third parties handle personal data.

6. Intellectual property 

Hopae (and its licensors, as applicable) retains all rights, title, and interest in and to the Service, including all software, documentation, and associated intellectual property rights. These Terms do not grant you any ownership interest in the Service.

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to use Hopae Auth solely to integrate EUDI Wallet login with your applications via supported IAM platforms.

You retain all rights to your own applications, configurations, and data.

7. Data protection and privacy 

Our handling of personal data in connection with the Service is described in our Privacy Policy (see above). By using the Service, you acknowledge and agree to that Privacy Policy.

Where Hopae acts as a processor/service provider on your behalf, the parties may enter into additional data processing terms as required by applicable law (for example, a data processing agreement or addendum). In the event of a conflict between these Terms and any executed data processing addendum, the addendum will control with respect to data protection obligations.

8. Confidentiality 

Each party agrees to protect any non‑public information disclosed by the other party that is marked or reasonably understood to be confidential (“Confidential Information”). Confidential Information may include technical information about the Service, configuration details, security information, and non‑public business information.

The receiving party will:

  • use Confidential Information only for the purposes of performing its obligations or exercising its rights under these Terms; and

  • not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those in these Terms.

These confidentiality obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, is independently developed without use of Confidential Information, or is received from another source without breach of any duty.

9. Disclaimers 

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. Hopae specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

Without limiting the foregoing, we do not guarantee that:

  • the Service will be error‑free, uninterrupted, or completely secure;

  • EUDI Wallet infrastructure, national wallets, intermediaries, IAM platforms, or related services will be available or behave as expected; or

  • use of the Service will by itself ensure compliance with any particular law or regulation (including eIDAS 2.0, GDPR, or other data protection laws).

You are responsible for assessing and ensuring your own compliance obligations.

10. Limitation of liability 

To the maximum extent permitted by law:

  • Hopae will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

  • Hopae’s total aggregate liability arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), or otherwise, will be limited to the amount (if any) you have paid to use the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you.

11. Indemnification 

You agree to indemnify and hold harmless Hopae and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Service in violation of these Terms or applicable law;

  • your applications, configurations, or data; or

  • any dispute between you and your end‑users or any third party relating to your implementation or use of the Service.

12. Term and termination 

These Terms apply for as long as you access or use the Service.

We may suspend or terminate your access to the Service, in whole or in part, if:

  • you materially breach these Terms and do not cure the breach within a reasonable period after notice (where cure is possible);

  • we are required to do so by law or by a court or governmental order; or

  • we choose to discontinue the Service.

You may cease using the Service at any time. Upon termination, your right to access or use the Service will end. Provisions that by their nature should survive termination (such as intellectual property, confidentiality, disclaimers, limitations of liability, and governing law) will continue in effect.

13. Governing law and disputes 

Unless otherwise required by mandatory law, these Terms will be governed by and construed in accordance with the laws of the jurisdiction where Hopae Inc. is organized, without regard to its conflict‑of‑laws rules.

Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of that jurisdiction, and you consent to the personal jurisdiction of such courts.

14. Changes to these Terms 

We may update these Terms from time to time. When we make material changes, we will adjust the “Last updated” date above and, where appropriate, provide notice (for example, via our website or through customer communication channels). Your continued use of the Service after the updated Terms become effective constitutes your acceptance of them.
